The Revenue Share That Wasn’t Supposed to Survive

Start with the number that got the least attention: 20%.

Under the original partnership structure, Microsoft was entitled to a revenue share from OpenAI — widely reported at 20% of total OpenAI revenue, capped at some multiple of Microsoft’s early $13 billion investment. Microsoft gives up the exclusivity that was constraining OpenAI’s growth, and in exchange, it locks in a higher take rate on that growth for longer.

For enterprise buyers, this matters because it signals something about Microsoft’s confidence in OpenAI’s trajectory. You don’t negotiate to retain a 20% share of a company you think is plateauing. Microsoft is betting that OpenAI’s revenue grows substantially — and they’ve structured their exit from exclusivity to capture that upside.

Companies that had been defaulting to Anthropic’s Claude on Bedrock — not because Claude was necessarily their first choice, but because they were already on AWS and Claude was available there — now have OpenAI as a genuine option within their existing infrastructure.

The 24-hour turnaround means one thing: this wasn’t improvised. The AWS partnership was negotiated in parallel with the Microsoft restructure, or at minimum, it was ready to launch the moment the exclusivity constraint lifted. OpenAI didn’t spend a day celebrating their new freedom — they spent it flipping a switch that was already built.

OpenAI’s inference demand exceeds what any one cloud provider can handle. That’s speculative for now, but it’s a real possibility that didn’t exist when Microsoft had exclusive serving rights.


The Verdict

The deal is a win-win, but not for the reasons the press release says. It’s a win-win because both companies were heading toward a lose-lose: a protracted legal battle over workarounds and exclusivity violations that would have consumed executive attention, legal resources, and public goodwill at exactly the moment when both companies need to be focused on the agentic transition.

The four terms that matter — the 20% revenue lock, the AGI clause removal, the non-exclusive license, and the 24-hour AWS launch — each resolve a specific constraint that was making the old deal increasingly untenable. Microsoft gets financial certainty. OpenAI gets infrastructure flexibility. Enterprises get optionality. And the legal threat goes away.

What’s left is a cleaner version of the same underlying relationship: Microsoft is a major financial stakeholder in OpenAI, with a long-term IP license and a revenue share that gives it real upside from OpenAI’s growth. OpenAI is free to serve its models wherever its customers actually are. The partnership didn’t end — it just grew up.
